The combined business operates in attractive categories where fast-moving consumer goods and healthcare overlap.

USA – Kimberly-Clark has completed its acquisition of Kenvue, bringing together leading personal care and consumer health brands to create what the Company describes as the preeminent global consumer health and wellness business.
The transaction brings together prominent brand portfolios, including 10 billion-dollar brands, to establish what the Company describes as the leading global consumer health and wellness business, providing exceptional care to billions of people throughout every stage of life.
Mike Hsu, Kimberly-Clark’s Chairman and Chief Executive Officer, described the acquisition as a landmark event in the Company’s 154-year history, as Kenvue joins the organization and the two businesses begin operating as one.
Under the theme Extraordinary, the combined company brings together well-known, trusted, and established personal care and consumer health brands.
Its portfolio includes 10 billion-dollar brands: Huggies, Listerine, Cottonelle, Neutrogena, Depend, Tylenol, Kleenex, Johnson’s Baby, Kotex, and Scott.
Together, these brands underpin the Company’s ambition to become the foremost global provider of consumer health and wellness products.
As conventional healthcare systems leave some consumer needs unmet, people increasingly have to piece together their own care solutions, making healthcare more personal, proactive, and essential.
Kimberly-Clark holds leading positions in several of the industry’s largest and most appealing categories, including baby care, women’s health, and active ageing.
With worldwide annual spending on health and wellness exceeding USD 500 billion, the Company believes it is well placed to meet rising demand for scientifically supported, high-quality, high-performing products that address everyday needs.
Kimberly-Clark intends to raise everyday care standards through three strategic pillars: Better Care, More Hands, and Smarter Health.
Its combined brands will offer more comprehensive support throughout consumers’ health and personal care journeys.
The Company also plans to broaden its reach, serving more people across more locations while responding to evolving needs.
The Company will apply its established Powering Care growth engine to strengthen the performance and long-term potential of Kenvue’s portfolio.
This approach will focus on bringing innovation to market faster, strengthening consumers’ attachment to its brands, and improving commercial execution. Kimberly-Clark has also assembled a leadership team specifically designed for the combined business, bringing together the experience, capabilities, and technical expertise needed to compete successfully in local markets.
Kimberly-Clark reaffirmed its expectation of approximately USD 2.1 billion in run-rate collaboration to support the combined company’s differentiated financial framework. This total includes approximately USD 1.9 billion in cost savings expected to be achieved during the first three years after the transaction closes, alongside approximately USD 500 million in additional profit from revenue partnership expected within four years of closing.
As previously announced, Kimberly-Clark will organize its operations into four business segments.
North America will represent approximately USD 18.0 billion in annual sales. Asia Pacific Focus Markets, comprising Greater China, Australia and New Zealand, South Korea, and Indonesia, will account for approximately USD 4.3 billion in annual sales.
Europe, the Middle East, and Africa, collectively known as EMEA, will generate approximately $5.0 billion in annual sales.
Enterprise Markets, which includes Latin America, including Brazil, as well as India, Southeast Asian markets, and Japan, will represent approximately USD 4.3 billion in annual sales.
As previously disclosed, three directors from Kenvue’s Board have joined Kimberly-Clark’s Board, bringing its total membership to 13.
The Board now consists of Mike Hsu, Chairman and Chief Executive Officer; Sherilyn S. McCoy, Lead Independent Director; Richard E. Allison, Jr.; Sylvia M. Burwell; John W. Culver; Deeptha Khanna; S. Todd Maclin; Deirdre A. Mahlan; Larry Merlo; Kirk Perry; Joseph Romanelli; Dunia A. Shive; and Mark T. Smucker.
Following the completion of the transaction, Mae C. Jemison, Christa S. Quarles, and Jaime A.
